Constantine C. Baranoff
Mr. Baranoff, a shareholder in the firm, focuses on
bond counsel work and Mello-Roos community facilities district

P. Addison Covert
Mr. Covert is a shareholder and member of the firm’s education
and public finance practice groups. In addition to
practicing law, Mr. Covert also served as the firm’s managing
shareholder from 2004 to 2012. Prior to that, he served on
the firm’s board of directors for 12 years. As an attorney
at the firm, Mr. Covert represents public and private sector
clients in public finance, business, education and construction
law, and has done so for more than 30 years. He has earned
a reputation for assisting clients in the mediation or other
resolution of complex disputes. A majority of
his clients are school districts; however, Mr. Covert also
represents community college districts, other public agencies,
along with a select number of private sector clients. Both
through his experience as managing shareholder and his
comprehensive transactional practice work, he has gained exposure
and developed skills for dealing with a broad range of
institutional management and financial issues. His
experience in several practice areas allows him to provide
general counsel to his clients on a wide variety of legal matters
impacting daily operations and decision-making.

Sally Jensen Dutcher
Ms. Dutcher has been practicing education law since
1987. She provides preventive legal guidance and counsel to
school boards, school districts, county offices of education and
other education agencies on a wide spectrum of legal and
contractual matters impacting the delivery of public education.
Ms. Dutcher came to Kronick with a wealth of practical,
client-side experience, after having spent 18 years as general
legal counsel for Napa Valley Unified School District. As general
counsel and member of the District’s executive leadership team,
Ms. Dutcher gained a solid understanding of education law and
policy and was instrumental in the development, approval and

Michael E. Hersher
Mr. Hersher is an attorney in the firm’s Sacramento
office who has more than 35 years of public education law
experience representing clients in litigation and administrative
proceedings, as well as providing general advice and counsel to
public agencies on a wide range of legal and policy matters.
Prior to joining Kronick, Mr. Hersher worked in the Legal
Division of the California Department of Education for 25 years.
During that time, he served as General Counsel, Assistant
General Counsel and Deputy General Counsel, advising and
representing the Department, the State Superintendent of Public
Instruction and the State Board of Education in matters involving
special education, charter schools, public school finance,
personnel and employment, categorical program compliance, open
meetings and public records laws, testing and accountability, and

Christian M. Keiner
Mr. Keiner is a shareholder with more than 30 years
of legal experience. He represents community college districts,
school districts, county offices of education, and other public
entities in civil litigation, labor and personnel matters, and
general governance and administrative law matters. He is a highly
experienced litigator, having represented clients in numerous
cases at the trial and appellate levels in state and federal

Meghan Covert Russell
Ms. Covert Russell is an associate attorney in the
firm’s Sacramento office. She represents school districts and
county offices of education on a variety matters, including
special education, student issues and district governance. She
also provides general advice and counsel, transactional and
litigation support to education and public agency clients

William F. Schuetz. Jr.
Mr. Schuetz is an of counsel attorney in the firm’s
education law practice. He represents school districts and county
offices of education in all areas of education law, including
labor and employment, business/facilities, student issues, and

charter school law, and regularly assists clients throughout
California with a wide variety of charter school related legal
